This practice has expertise in matters pertaining to the affairs of companies including mergers and acquisitions, initial public offers (IPOs), corporate restructuring and the acquisition of businesses.
The firm has wide experience conducting due diligence exercises in connection with the above. These include:
- Due diligence exercises on financial institutions on behalf of Danamodal Berhad pursuant to Danamodal Berhad's capital injection exercise;
- Due diligence exercises for initial public offers in respect of applications filed pursuant to section 32B Securities Commission Act;
- Due diligence exercise on local companies pursuant to the listing exercise of the local companies' holding company in a foreign stock exchange; and
- Due diligence exercise in relation to mergers and acquisitions (mainly on target companies) pursuant to sales and purchases of shares in the target companies or the businesses of the target companies.
We have experience in advising on internet, e-commerce and information technology transactions and have assisted several information technology companies in Malaysia in their legal infrastructure set-up, invitations to venture capital funds and other corporate dealings.
Our international trade group concentrates on cross border transactions in particular, foreign exchange requirements, foreign investment requirements, licenses under the Ministry of International Trade and Industry, international joint venture agreements, franchise agreements, distributorship agreements and disputes relating to international commercial transactions.
